If delivery cannot be completed due to an incorrect or inaccessible address, you may be charged a redelivery fee or forfeit the order without a refund. Upon delivery, the risk of loss or damage to the food products passes to you.

To the fullest extent permitted by applicable law, Dewey's Pizza expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to:
- Any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement;

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE FEDERAL AND STATE LAW, IN NO EVENT SHALL DEWEY'S PIZZA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
- LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES;
- PERSONAL INJURY OR PROPERTY DAMAGE OF ANY NATURE;
- UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS OR ANY PERSONAL INFORMATION STORED THEREIN;
- ANY BUGS, VIRUSES, TROJAN HORSES, OR SIMILAR HARMFUL CODE TRANSMITTED THROUGH THE WEBSITE BY ANY THIRD PARTY;
- ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF YOUR USE OF THE SERVICES.
NOTWITHSTANDING THE FOREGOING, IN NO EVENT SHALL DEWEY'S PIZZA'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO DEWEY'S PIZZA IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100.00).
The limitations of liability set forth herein shall apply regardless of the theory of liability — whether based in contract, tort (including negligence), strict liability, or any other legal or equitable theory — even if Dewey's Pizza has been advised of the possibility of such damages. Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you to the extent prohibited by law.
10. Indemnification
You agree to defend, indemnify, and hold harmless Dewey's Pizza, its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, contractors, licensors, and service providers (collectively, the "Indemnified Parties") from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees and court costs) arising out of or relating to:
- Your violation of these Terms or any applicable law or regulation;
- Your use or misuse of the Website or Services;
- Your negligence, willful misconduct, or fraud;
- Any content or information you submit, post, or transmit through the Website;
- Your violation of any third-party rights, including intellectual property rights or privacy rights;
- Any dispute between you and any third party arising from your use of the Services;
- Your breach of any representation or warranty made in these Terms.
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such event, you agree to cooperate fully with us in asserting any available defenses. You shall not settle any such claim without our prior written consent.
11. Governing Law and Jurisdiction
These Terms and any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or to the use of the Services, shall be governed by and construed in accordance with the laws of the United States and the applicable laws of the state in which Dewey's Pizza operates, without regard to its conflict of law provisions.
To the extent that any legal action is brought and not otherwise resolved through the dispute resolution procedures set forth in Section 12 below, you consent to the exclusive personal jurisdiction of the federal and state courts located within the United States, and you waive any jurisdictional, venue, or inconvenient forum objections to such courts. You acknowledge that the Federal Arbitration Act (9 U.S.C. § 1 et seq.) governs the interpretation and enforcement of the arbitration provisions contained herein.
These Terms shall not be governed by the United Nations Convention on Contracts for the International Sale of Goods, which is expressly excluded from application to these Terms.
12. Dispute Resolution
12.1 Informal Resolution
Before initiating any formal dispute resolution process, you agree to first contact Dewey's Pizza in writing at [email protected] and provide a written description of the dispute, the relief sought, and your contact information. We will attempt to resolve the dispute informally within thirty (30) days of receiving your notice. If we are unable to resolve the dispute informally within that period, either party may proceed to arbitration as described below.
12.2 Binding Arbitration
EXCEPT AS OTHERWISE PROVIDED HEREIN, ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL BE RESOLVED BY FINAL AND BINDING ARBITRATION, RATHER THAN IN COURT. You understand that by agreeing to these Terms, you and Dewey's Pizza are each waiving the right to a trial by jury or to participate in a class action.
Arbitration shall be conducted under the rules of the American Arbitration Association ("AAA") in effect at the time of the arbitration, applying its Consumer Arbitration Rules where applicable. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.
The arbitration shall take place in the United States, at a location mutually agreed upon by the parties, or via remote means if appropriate. The arbitrator shall have the authority to award any remedy that would be available in a court of law, but shall not have the authority to award punitive damages except as expressly provided by applicable statute.
12.3 Class Action Waiver
YOU AND DEWEY'S PIZZA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING. If this class action waiver is found to be unenforceable with respect to a particular claim or request for relief, then that claim or request for relief shall be severed from the arbitration agreement and may proceed in court.
12.4 Exceptions
Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes that qualify under that court's jurisdiction. Additionally, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights.
Nothing in this Section shall limit the right of consumers to file complaints with the Federal Trade Commission (FTC) or any applicable state consumer protection agency, or to exercise any rights under applicable consumer protection laws, including the California Consumer Privacy Act (CCPA/CPRA) where applicable.
13. Term and Termination
These Terms shall remain in full force and effect for as long as you access or use the Website or Services. We may, in our sole discretion and without prior notice, terminate or suspend your access to all or any part of the Services for any reason, including but not limited to:
- Your breach of any provision of these Terms;
- Fraudulent, abusive, or unlawful activity associated with your account;
- Extended periods of account inactivity;
- Requests by law enforcement or other government authorities;
- Technical, security, or operational reasons at our discretion.
Upon termination, your right to access and use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including without limitation: ownership provisions, warranty disclaimers, indemnification obligations, limitation of liability, and the dispute resolution provisions.

The parties agree that if any provision of these Terms is found unenforceable, the remaining provisions will continue to be valid and enforceable to the fullest extent permitted by law, and the parties' intent as expressed in the original provision shall be given maximum effect to the extent permissible under applicable law.
18. Entire Agreement
These Terms, together with the Privacy Policy and any other legal notices or policies posted on the Website by Dewey's Pizza, constitute the entire agreement between you and Dewey's Pizza with respect to your use of the Website and Services, and supersede all prior or contemporaneous communications, representations, negotiations, discussions, or agreements between you and Dewey's Pizza, whether written or oral, relating to the subject matter hereof.

Dewey's Pizza shall not be liable or responsible to you, nor be deemed to have defaulted under or breached these Terms, for any failure or delay in fulfilling or performing any aspect of the Services when and to the extent such failure or delay is caused by or results from acts beyond our reasonable control, including without limitation: acts of God; natural disasters; pandemics or public health emergencies; labor disputes or shortages; supply chain disruptions; utility failures; fire; flood; storm; earthquake; government actions; civil unrest; war; terrorism; or any failure of third-party service providers, telecommunications, or internet infrastructure.
20. Electronic Communications
By using our Website and Services, you agree that we may communicate with you electronically, including via email, text message, or notices posted on the Website. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
